For the sum of ___________($.           ), ___________________ (the “Assignor”) hereby sells and transfers all right, title and interest in and to the accounts receivable that are identified in the attached schedule to _______________________ (the “Assignee”) . 

The Assignor warrants that said accounts are just and due and the Assignor has not received payment for same or any part thereof; and that if any said account does not make full payment within ____________ (          ) days, said accounts may be re-transferred to the Assignor and the Assignor shall re-purchase same for the balance then owing on said accounts.
