Keep focus of main issues & results to be achieved • Avoid frequent interruptions or objections. Wait for your chance. • Do not argue with the Judges. Explain with reason. APPLICATION UNDER SECTION 241 RULE 81 (1) An Application under clause (a) or clause (b) of sub-section (1) of section 241 of the Act, shall be filed in the Form NCLT-1 and shall be accompanied with such documents as are mentioned in Annexure B. APPLICATION UNDER SUB-SECTION (1) OF SECTION 244. RULE 83A • An application in Form No. NCLT. 9 may be filed before the Tribunal for waiver of requirement of clause (a) or (b) of Section 244 of the Act which shall be accompanied by such documents as mentioned in Annexure-B. MEANINGS • Meaning of Application Rule 2 (5) Any Application, Interlocutory Application or proceedings filed under the provisions of the Act, including any transferred application or transferred petition as defined under sub-rule (29). • Meaning of Interlocutory Application Rule 2 (15) and Rule 32 An Application in any appeal or original petition on proceeding already instituted in the Tribunal, but not being a proceeding for execution of the order or direction of Tribunal. Interlocutory Application are a form of incidental proceedings and they are in aid to final proceedings. An Interlocutory Petition is initiated with a view to prevent the ends of justice being defeated when the Original Application is unable to address the immediate circumstances. Interlocutory Application is filed to support the main application for an interlocutory relief during the pendency of the proceedings of the main application. Every Interlocutory Application for stay, direction, Condonation of delay, exemption from production of copy of order appealed against or extension of time prayed for in pending matters shall be in prescribed form and the requirements prescribed in that behalf shall be complied with by the applicant, besides filing an affidavit supporting the application. MEANING • Authorized Representative Rule 2 (6) A person authorised in writing by a party to present his case before the Tribunal as the representative of such party as provided under section 432 of the Act. Sec 432: A party to any proceeding or appeal before the Tribunal or the Appellate Tribunal, as the case may be, may either appear in person or authorise one or more chartered accountants or company secretaries or cost accountants or legal practitioners or any other person to present his case before the Tribunal or the Appellate Tribunal, as the case may be. • Pleadings Rule 2 (19) Application including Interlocutory Application, Petition, Appeal, Revision, Reply, Rejoinder, Statement, Counter Claim, Additional Statement Supplementing the Original Application and Reply Statement under these rules and as may be permitted by the Tribunal. GENERAL INFORMATION • Sitting Hours Rule 9 The sitting hours of the Tribunal shall ordinarily be from 10:30 AM to 1:00 PM and 2:00 PM to 4:30 PM, subject to any order made by the President. • Working Hours Rule 10 Except on Saturdays, Sundays and other National Holiday, the office of the Tribunal shall remain open on all working days from 09.30 A.M. to 6.00 P.M. The Filing Counter of the Registry shall be open on all working days from 10.30 AM to 5.00 P.M. GENERAL INFORMATION • Inherent Power Rule 11 Nothing in these rules shall be deemed to limit or otherwise affect the inherent powers of the Tribunal to make such orders as may be necessary for meeting the ends of justice or to prevent abuse of the process of the Tribunal. • Listing of cases Rule 13 An urgent matter filed before 12 noon shall be listed before the Tribunal on the following working day, if it is complete in all respects as provided in these rules and in exceptional cases, it may be received after 12 noon but before 3.00 P.M. for listing on the following day, with the specific permission of the Bench PRESENTATION OF PETITION OR APPEAL (RULE 23) • Every petition, application, caveat, interlocutory application, documents and appeal shall be presented in triplicate by the appellant or applicant or petitioner or respondent, as the case may be, in person or by his duly authorised representative or by an advocate duly appointed in this behalf in the prescribed form with stipulated fee at the filing counter and non-compliance of this may constitute a valid ground to refuse to entertain the same. • All the documents filed in the Tribunal shall be accompanied by an index in triplicate containing their details and the amount of fee paid thereon. • Sufficient number of copies of the appeal or petition or application shall also be filed for service on the opposite party as prescribed under these rules. • In the pending matters, all applications shall be presented after serving copies thereof in advance on the opposite side or his authorised representative. • The processing fee prescribed by these rules, with required number of envelopes of sufficient size and notice forms shall be filled alongwith memorandum of appeal. NUMBER OF COPIES TO BE FILED RULE 24 • The appellant or petitioner or applicant or respondent shall file three authenticated copies of appeal or petition or application or counter or objections, as the case may be, and shall deliver one copy to each of the opposite party. GENERAL PROCEEDINGS RULE 34 (1) In a situation not provided for in these rules, the Tribunal may, for reasons to be recorded in writing, determine the procedure in a particular case in accordance with the principles of natural justice. (2) The general heading in all proceedings before the Tribunal, in all advertisements and notices shall be in Form No. NCLT. 4. (3) Every petition or application or reference shall be filed in form as provided in Form No. NCLT. 1 with attachments thereto accompanied by Form No. NCLT. 2 and in case of an interlocutory application, the same shall be filed in Form No. NCLT. 1 accompanied by such attachments thereto along with Form No. NCLT. 3. (4) Every petition or application including interlocutory application shall be verified by an affidavit in Form No. NCLT.6. Notice to be issued by the Tribunal to the opposite party shall be in Form NCLT-5. FILING OF REPLY AND OTHER DOCUMENTS BY THE RESPONDENTS (RULE 41) (1) Each respondent may file his reply to the petition or the application and copies of the documents, either in person or through an authorised representative, with the registry as specified by the Tribunal. (2) A copy of the reply or the application and the copies of other documents shall be forthwith served on the applicant by the respondent. (3) To the reply or documents filed under sub-rule (1), the respondent shall specifically admit, deny or rebut the facts stated by the applicant in his petition or application and state such additional facts as may be found necessary in his reply. FILING OF REJOINDER (RULE 42) • Where the respondent states such additional facts as may be necessary for the just decision of the case, the Bench may allow the petitioner to file a rejoinder to the reply filed by the respondent, with an advance copy to be served upon the respondent

    एक सार्वजनिक कंपनी के प्रबंध निदेशक की नियुक्ति के तहत पंजीकृत एक कंपनी एबी कंपनी लिमिटेड के बीच …………………………………………… के दिन ……… पर किया गया यह समझौता कंपनी अधिनियम, 1956 और एक भाग के ………….. (इसके बाद कंपनी कहा जाता है) में अपना पंजीकृत कार्यालय है और श्री ए, ……… का पुत्र है ……………….. का निवासी (जिसे इसमें इसके बाद प्रबंध निदेशक कहा गया है) दूसरे भाग का।   जबकि (1) कंपनी ………………… और श्री …………… के निर्माण में लगी हुई है जो प्रबंध के रूप में काम कर रहा था इसके साथ निदेशक ने अपनी नौकरी से इस्तीफा दे दिया है क्योंकि उन्हें व्यक्तिगत कारणों से भारत से बाहर जाना पड़ता है (2) कंपनी के निदेशक मंडल ने कंपनी के प्रबंध निदेशक के कार्यालय में कंपनी के एसोसिएशन के लेखों के अनुच्छेद …………… के अनुसार इसमें इसके बाद निहित शर्तों पर प्रबंध निदेशक को नियुक्त किया है।   अब इस बात पर निम्न तरह से सहमति है:   (1) प्रबंध निदेशक उस पद को यहां की तारीख से वर्षों की अवधि के लिए धारण करेगा, लेकिन कंपनी के आर्टिकल्स ऑफ एसोसिएशन या कंपनी के आर्टिकल …………… में उल्लिखित किसी भी घटना के होने पर वह अपना पद खाली कर देगा। कंपनी आम बैठक में संकल्प करती है कि उनके कार्यालय का कार्यकाल निर्धारित किया जाएगा।   (2) इस समझौते की निरंतरता के दौरान, प्रबंध निदेशक कंपनी के व्यवसाय के घंटों के दौरान अपना पूरा समय कंपनी के व्यवसाय के लिए समर्पित करेगा और वह कंपनी के हितों और कल्याण को बढ़ावा देने के लिए अपने सर्वोत्तम प्रयासों का उपयोग करेगा। इस अनुबंध की समाप्ति के बाद, वह किसी भी व्यक्ति को कंपनी के व्यवसाय या उसके व्यापार रहस्यों से संबंधित किसी भी प्रकार का खुलासा नहीं करेगा, जो उसे प्रबंध निदेशक के रूप में कार्य करते समय पता चलेगा।   (3) प्रबंध निदेशक उन सभी शक्तियों और कर्तव्यों का प्रयोग और पालन करेगा जो निदेशक मंडल उसे समय-समय पर प्रदान या लागू कर सकता है और वह कंपनी के निदेशक मंडल के निर्देशन और नियंत्रण में काम करेगा।   (4) प्रबंध निदेशक कंपनी की ओर से कंपनी के व्यवसाय के सामान्य पाठ्यक्रम में अनुबंध करने के लिए अधिकृत होगा, मूल्य या राशि रुपये से अधिक नहीं है। कंपनी के उन अधिकारियों, क्लर्कों और अन्य कर्मचारियों को, जिनका वेतन ……………… प्रति माह से अधिक नहीं है, को नियुक्त करना और हटाना। निदेशक मंडल द्वारा उसे समय-समय पर सौंपी गई शक्तियां, ऐसे सभी निर्देशों और प्रतिबंधों के अधीन, जो निदेशक मंडल लगा सकता है।   (5) कंपनी कंपनी के व्यवसाय के लिए किसी अन्य प्रबंध निदेशक, संयुक्त प्रबंध निदेशक या प्रबंधक को भी नियुक्त कर सकती है   (6) इस समझौते की निरंतरता के दौरान, प्रबंध निदेशक किसी अन्य कंपनी में निदेशक का पद धारण नहीं करेगा या अपने स्वयं के खाते में या किसी अन्य व्यक्ति के लिए प्रत्यक्ष या अप्रत्यक्ष रूप से कोई व्यवसाय नहीं करेगा। वह प्रत्यक्ष या अप्रत्यक्ष रूप से कंपनी या समान व्यवसाय करने वाली किसी अन्य कंपनी के किसी शेयर का अधिग्रहण, धारण या सौदा नहीं करेगा।   (7) प्रबंध निदेशक अपनी सेवाओं के लिए पारिश्रमिक के रूप में ………………… प्रति माह की राशि के साथ-साथ आवास, ड्राइवर के साथ कार, स्वयं के लिए मेडी-क्लेम बीमा प्रस्तुत करने का भी हकदार होगा। और परिवार, उसकी पसंद के दो क्लबों की सदस्यता।     (8) प्रबंध निदेशक पूरे वेतन के साथ एक महीने की छुट्टी लेने का हकदार होगा, लेकिन वह कंपनी के निदेशक मंडल के अनुमोदन के बिना वर्ष में लगातार दो सप्ताह की छुट्टी लेने का हकदार नहीं होगा।   (9) यदि प्रबंध निदेशक किसी भी समय बीमारी से या अन्यथा लगातार तीन महीनों तक अपने कर्तव्यों का पालन करने से अक्षम हो जाता है या निदेशक मंडल की राय में, यदि वह ऐसे प्रबंध निदेशक के रूप में कार्य करने के लिए अयोग्य हो जाता है, तो कंपनी समाप्त हो सकती है इस समझौते को तीन महीने की लिखित सूचना या तीन महीने के वेतन के बराबर राशि का भुगतान करके। प्रबंध निदेशक कंपनी को छह महीने का लिखित नोटिस देकर अपने पद से इस्तीफा भी दे सकते हैं।    (10) इस समझौते के निर्धारण के बाद, प्रबंध निदेशक …………… के व्यापार या व्यवसाय या किसी अन्य व्यापार या व्यवसाय के किसी भी व्यापार या व्यवसाय के समान व्यापार या व्यवसाय को चलाने या करने में रुचि नहीं रखेगा। भारत के भीतर दो साल की अवधि के लिए कंपनी।   जिसके साक्ष्य में पहले भाग की पार्टी ने अपने हाथ और हस्ताक्षर किए हैं और कंपनी ने अपनी मुहर लगाई है, पहले दिन और वर्ष यहां ऊपर लिखा हुआ है।   गवाहों 1 नामित प्रबंध निदेशक ए द्वारा हस्ताक्षरित और वितरित किया गया 2. नामित कंपनी एबी कंपनी लिमिटेड के भीतर की सामान्य मुहर इसके निदेशक मंडल के ................... दिन को पारित संकल्प के अनुसार लगाई गई है। ……………20 ……………… एस / श्री ……………… और निदेशकों की उपस्थिति में जिनके पास टोकन है, अपने हाथ और हस्ताक्षर सेट करें Download PDF Document In Hindi.
